Please read these terms carefully before using the Website. Using the Website indicates that you accept these terms regardless of whether or not you choose to register with us. If you do not accept these terms, you must cease to use the Website immediately. 1. Introduction

1.1 The Website is of a B2B nature and is intended to provide information about the services the Company provides for clients and potential clients and enables the Company’s interim executives to post their profiles online and to engage with the Company’s interim community.

1.2 You may only access the Services we provide (see clause 3) as well as other areas of the Website if you register your details with us. You will be able to access some areas of the Website, however, without registering your details.

1.3 By accessing any part of the Website, you shall be deemed to have accepted this legal notice in full. If you do not accept this legal notice in full, you must leave the Website immediately.

1.4 The Company may revise this legal notice at any time by updating this posting. You should check the Website from time to time to review the then current legal notice, because it is binding on you. Certain provisions of this legal notice may be superseded by expressly designated legal notices or terms located on particular pages at the Website.

 

2. Licence
2.1 You are permitted to print and download extracts from the Website for your own use on the following basis:
(a) no documents to which you do not have access or related graphics on the Website are modified in any way
(b) no graphics on the Website are used separately from the corresponding text; and
(c) the Company’s copyright and trade mark notices and this permission notice appear in all copies.

2.2 Unless otherwise stated, the copyright and other intellectual property rights in all material on the Website (including without limitation, photographs and graphical images) are owned by the Company or its licensors. For the purposes of this legal notice, any use of extracts from the Website other than in accordance with clause 2.1 for any purpose is prohibited. If you breach any of the terms in this legal notice, your permission to use the Website automatically terminates and you must immediately destroy any downloaded or printed extracts from the Website.

2.3 Subject to clause 2.1, no part of the Website may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without the Company’s prior written permission.

3. Services

3.1 The Company may post details of any interim assignments which may arise from time to time based on a discrete description of any such assignment(s) provided to or by the Company. These details will be provided in good faith by the Company but no liability can be accepted by the Company in relation to the accuracy or appropriateness of any such details.

3.2 The Company’s interim community may use the Website to post their CVs . The Company reserves the right to modify, adapt or reword CVs posted by any interims as it sees fit. The Company shall have no liability to interims or those engaging interims as a result of such modification, nor for the accuracy of any information in CVs posted on the Website or otherwise provided to those engaging interims.

3.3 You will be considered to misuse the services of the Website if you breach our Interim Headquaters “iHQ” code of conduct (set out below) or behaviour deemed by the Company to be inappropriate. These include but are not restricted to the following:
(a) Please do not tout for roles; so long as your profile is updated, the Company is already out there trying to source interim assignments for our pool of executives
(b) Be constructive; let us make this an information hub for our industry, with positive and constructive comments which reflect well on the interim management industry ;
(c) Please do not advertise; if you have an assignment which you require an interim for then just get in touch and wewill be happy to assist;
(d) Keep private information, private; do not share your contact details. If someone wants to connect, please go through us first. In particular, others users of the Website may share with you sensitive information about either themselves, any potential assignments or any third parties. You are to respect in full the confidential and sensitive nature of any such information and are to treat such information accordingly; and
(e) Stay professional; please exercise caution in respect of any comments you may make or any references you make to any third parties. It is a closed site, but content often reaches a wider audience.

3.4 The Company reserves the right to withdraw the services provided at any time without notice. Without prejudice to the generality of the foregoing the Company reserves the right in its sole discretion to deny users access to the Website without notice and to decline to provide the service to any user that is in breach of these terms and conditions of use or for any reason whatsoever.

3.5 Any agreement entered into between you and the Company may be terminated by either party without notice. Further the Company reserves the right to terminate any agreement without notice..

 

4. Service Access

4.1 While the Company endeavours to ensure that the Website is normally available 24 hours a day, the Company shall not be liable if for any reason the Website is unavailable at any time or for any period.

4.2 Access to the Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond the Company’s control.

4.3 The Company offers groups on the Website where users can post observations and comments. The Company reserves the right to close them down or remove or amend content. The Company is not liable for the user’s misuse of any content posted on the Website.

 

5. User Material and Conduct

5.1 Other than personally identifiable information, which is covered under our Privacy Policy, any material you transmit or post to the Website shall be considered non-confidential and non-proprietary. The Company shall have no obligations with respect to such material. The Company and its designees shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.

5.2 You are prohibited from posting or transmitting to or from the Website any material:
(a) that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience; or

You consent to the Company conducting such verification as it considers appropriate and, without limitation, acknowledge that the Company may amend or delete any information you provide as it considers appropriate.

5.5 The Company shall fully co-operate with any law enforcement authorities or court order requesting or directing the Company to disclose the identity or locate anyone posting any material in breach of clause 5.2 or clause 5.3.

7. Registration

7.1 Each registration is for a single user only. The Company does not permit you to share your user name and password with any other person nor with multiple users on a network. The Company shall take action if it is found that logon detail is shared with a third party. All profile data should be accurate and not fictitious.

7.2 Responsibility for the security of any passwords issued rests with you.

7.3 When you register your details you agree to the Company storing that personal information.

 

8. Privacy

8.1 The Company will use your personal information in line with our Privacy Policy and you acknowledge and agree to be bound by the terms of our Privacy Policy from time to time.

8.2 The Company does not assume any responsibility for the protection of any information electronically transmitted via the Website or the Company prior to reaching its final destination, nor does the Company assume any responsibility for the use made of any information provided to third parties in line with these terms and conditions and the Privacy Policy.

9.1 While the Company endeavours to ensure that the information on the Website is correct, the Company does not warrant the accuracy and completeness of the material on the Website.
